This End User License Agreement (“Agreement”) governs your access to and use of the AI Radio Bot software platform, streaming services, artificial intelligence tools, voice generation tools, websites, applications, APIs, and related services (“Services”) operated by PreciseAI, LLC (“PreciseAI,” “AIRadioBot,” “we,” “our,” or “us”). By accessing, installing, downloading, subscribing to, or using the Services, you agree to be legally bound by this Agreement.

1. Subscription Terms

1. Subscription plans, billing cycles, pricing, promotional offers, and features are identified within the user account portal.

2. Subscriptions automatically renew unless canceled prior to renewal.

3. Subscription fees are non-refundable unless otherwise required by law.

4. AIRadioBot reserves the right to modify pricing, features, or subscription plans upon reasonable notice.

5. Users are responsible for all applicable taxes and governmental fees.

2. Eligibility

The Services are available only to:

1. Individuals at least 13 years of age.

2. Individuals under 13 only with verified parental or legal guardian consent.

3. Individuals not prohibited from using the Services under applicable law.

4. Organizations and businesses authorized to enter binding agreements.

3. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the Services.

• Distribute, sublicense, lease, sell, or assign the Services without authorization.

• Use the Services to violate any law or regulation.

• Upload or broadcast unlawful, infringing, defamatory, fraudulent, deceptive, hateful, or harmful material.

• Use the Services for spam, phishing, malware, scams, or deceptive practices.

• Interfere with platform operations, servers, networks, or security systems.

• Circumvent access restrictions or account limitations.

• Use the Services to create fake emergency alerts, impersonations, or misinformation campaigns.

4. AI Voice Cloning and Synthetic Media Restrictions

Users may not:

• Clone, imitate, or replicate the voice or likeness of any person without lawful authorization or consent.

• Use AI-generated voices or synthetic media to impersonate celebrities, public figures, government officials, broadcasters, or private individuals.

• Use the Services for fraud, deception, identity theft, harassment, election interference, or unlawful activities.

• Generate misleading synthetic content that falsely implies endorsement, affiliation, sponsorship, or authenticity.

Users are solely responsible for compliance with all publicity rights, privacy rights, intellectual property laws, and voice likeness laws.

5. User Content and Licensing

1. Users retain ownership of content uploaded to the Services (“Content”).

2. By uploading Content, users grant AIRadioBot a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, stream, display, modify, distribute, and publicly perform Content solely for operation, maintenance, promotion, and improvement of the Services.

3. Users represent and warrant that:

• They possess all rights necessary to upload and use the Content.

• The Content does not infringe third-party rights.

• The Content complies with all laws and regulations.

AIRadioBot reserves the right to remove, suspend, restrict, or delete Content at its sole discretion.

6. Copyright and DMCA Policy

AIRadioBot respects intellectual property rights and complies with the Digital Millennium Copyright Act (“DMCA”).

1. Copyright owners may submit infringement notices to support@airadiobot.com.

2. AIRadioBot may remove allegedly infringing content without prior notice.

3. Repeat infringers may have accounts suspended or terminated.

4. Users submitting counter-notifications represent under penalty of perjury that the material was removed in error.

7. Music Licensing and Broadcast Responsibility

Users are solely responsible for obtaining all music licenses, synchronization rights, broadcast rights, performance rights, and permissions required for any audio, music, broadcasts, or streams transmitted through the Services.

AIRadioBot does not provide music licensing on behalf of users unless explicitly stated in writing.

8. AI-Generated Content Disclaimer

Artificial intelligence-generated content, including generated articles, scripts, broadcasts, voice outputs, summaries, or recommendations, may contain inaccuracies, omissions, hallucinations, errors, or misleading information.

Users are solely responsible for reviewing, editing, verifying, approving, and validating all AI-generated outputs before publication or broadcast.

AIRadioBot does not guarantee the factual accuracy, legality, or reliability of AI-generated content.

9. Account Security

Users are responsible for safeguarding login credentials and all activities occurring under their accounts.

Users must immediately notify AIRadioBot of unauthorized access or suspected security breaches.

10. Payment Terms and Data Deletion

1. Users authorize AIRadioBot to charge their designated payment method.

2. AIRadioBot may suspend or terminate accounts for failed or overdue payments.

3. Accounts delinquent for more than thirty (30) days may be canceled.

4. Deleted accounts, uploaded data, broadcasts, AI-generated materials, settings, and associated content may become permanently unrecoverable.

5. Users are solely responsible for maintaining independent backups of all data and content.

6. Chargeback abuse or fraudulent payment disputes may result in permanent account termination.

11. Privacy and Cookies

Use of the Services is also governed by the AIRadioBot Privacy Policy.

AIRadioBot uses cookies and similar technologies necessary for authentication, security, analytics, and platform functionality.

Disabling required cookies may limit Service functionality.

12. Service Availability

The Services are provided on an “AS IS” and “AS AVAILABLE” basis.

AIRadioBot does not guarantee uninterrupted availability, uptime, or error-free operation.

Service interruptions may occur due to maintenance, upgrades, network failures, third-party outages, security incidents, or force majeure events.

13. Disclaimer of Warranties

To the maximum extent permitted by law, AIRadioBot disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and availability.

14. Limitation of Liability

To the maximum extent permitted by law, PreciseAI, LLC, AIRadioBot, affiliates, officers, employees, contractors, and licensors shall not be liable for indirect, incidental, consequential, punitive, special, or exemplary damages, including loss of revenue, profits, business opportunities, goodwill, data, broadcasts, or content arising from use of the Services.

15. Indemnification

Users agree to defend, indemnify, and hold harmless PreciseAI, LLC and AIRadioBot from any claims, damages, liabilities, losses, costs, expenses, or legal fees arising from:

• User Content;

• Violation of this Agreement;

• Copyright or intellectual property disputes;

• AI misuse or impersonation claims;

• Broadcast activities;

• Violations of law or regulations.

16. Termination

AIRadioBot may suspend, restrict, terminate, or delete accounts at any time for:

• Violations of this Agreement;

• Suspected unlawful conduct;

• Fraudulent activity;

• Abuse of the Services;

• Security risks;

• Commercial impracticality;

• Prolonged inactivity.

17. Arbitration and Dispute Resolution

Any dispute, claim, controversy, or cause of action arising out of or relating to this Agreement, the Services, AI-generated content, user content, billing disputes, account termination, intellectual property, or use of the AIRadioBot platform shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) in Dallas County, Texas, in accordance with its Commercial Arbitration Rules.

The parties expressly waive any right to:

• A trial by jury;

• Participation in any class action, class arbitration, or representative proceeding;

• Consolidation of claims involving other users or parties.

The arbitration shall be conducted by a single arbitrator experienced in technology, software, or intellectual property matters.

The prevailing party in any arbitration or legal action shall be entitled to recover reasonable attorneys’ fees, arbitration costs, expert witness fees, and related expenses.

Notwithstanding the foregoing, PreciseAI, LLC may seek temporary restraining orders, injunctive relief, equitable relief, or other emergency remedies in any court of competent jurisdiction to protect:

• Intellectual property rights;

• Confidential information;

• Trade secrets;

• Platform security;

• AI models and proprietary technology;

• Voice cloning protections;

• Copyrights, trademarks, patents, or other proprietary rights.

Users agree that exclusive venue for any court proceeding permitted under this Agreement shall lie in Dallas County, Texas, and consent to personal jurisdiction therein.

If any portion of this arbitration provision is found unenforceable, the remaining portions shall remain in full force and effect.

18. Governing Law

This Agreement shall be governed by the laws of the State of Texas, without regard to conflict of law principles.

19. Export Compliance

Users may not use the Services in violation of United States export laws, sanctions laws, or trade restrictions.

20. Changes to Agreement

AIRadioBot may revise this Agreement at any time. Continued use of the Services following changes constitutes acceptance of the revised Agreement.

21. Entire Agreement

This Agreement constitutes the complete agreement between the parties concerning the Services and supersedes prior understandings or agreements.
